USER AGREEMENT — E-MAKETI

Welcome to e-maketi. These Terms & Conditions (the “Agreement”, “Terms”) govern your access to and use of the e-maketi website, mobile apps, and related services (collectively, the “Platform”). By registering, listing, buying, selling, or otherwise using the Platform you accept and agree to be bound by this Agreement.

If you do not agree to these Terms, do not use the Platform.

1. Definitions

  • Platform / e-maketi: The online marketplace operated by [Your Company Name], accessible at https://e-maketi.com and related properties.

  • User / You: Any person or entity who accesses or uses the Platform, including Buyers and Sellers.

  • Buyer: A User who purchases, attempts to purchase, or expresses interest in purchasing goods or services on the Platform.

  • Seller: A User who lists goods or services for sale on the Platform.

  • Listing(s): Product or service offers created by Sellers and displayed on the Platform.

  • Transaction: A completed sale between a Buyer and Seller facilitated through the Platform.

  • Content: Text, images, videos, reviews, messages, data and other materials provided by Users or e-maketi.

  • Fees: Charges, commissions, service fees, or other amounts payable to e-maketi as described in this Agreement.

3. Eligibility and account registration

  • You must be at least 18 years old (or the minimum legal age in your jurisdiction) and legally capable of entering a binding contract to use the Platform.

  • To use certain features you must register and create an account. You agree to provide accurate, current and complete information and to keep it updated.

  • You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately of unauthorized use.

4. User obligations and conduct

  • You agree to use the Platform lawfully and not to:

    • Post, list, or sell prohibited or illegal items (see Section 7).

    • Provide false or misleading information (including false identity, address, or payment details).

    • Attempt to manipulate ratings, reviews, or transaction records.

    • Use the Platform to harass, stalk, defraud, or violate others’ rights.

    • Bypass or interfere with our fees, payment systems, or reporting mechanisms.

  • You must comply with all local laws and tax obligations related to your use of the Platform.

5. Listings, pricing and descriptions

  • Sellers are solely responsible for the accuracy, legality, and quality of their Listings, including images, descriptions, pricing, availability, and any applicable warranties.

  • Prices displayed should be in the currency and format required by the Platform. Sellers must not misrepresent shipping costs, taxes, duties, or other charges.

  • e-maketi may remove, edit, or refuse Listings that violate these Terms or applicable laws, at its discretion.

6. Orders, payments and fees

    • e-maketi acts solely as an online marketplace platform that connects buyers and sellers. e-maketi does not process, manage, or handle orders, payments, shipping, or transactions between buyers and sellers.
    • All transactions, including order fulfillment, payment arrangements, delivery, returns, and refunds, are conducted directly between the buyer and the seller. e-maketi is not a party to any transaction and assumes no responsibility or liability arising from agreements or disputes between users.
    • Users are solely responsible for verifying product details, payment terms, delivery arrangements, and any applicable fees before completing transactions.

7. Prohibited and restricted items

You must not list, sell, or buy any items that are illegal or prohibited by e-maketi or applicable law, including (but not limited to):

  • Illegal drugs, regulated substances, or prescription medications.

  • Weapons, explosives, or illegal weapon parts.

  • Stolen or counterfeit goods, or goods that infringe intellectual property rights.

  • Hazardous chemicals, biological agents, or toxic substances.

  • Items that promote hate, violence, or unlawful activities.

  • Adult material where prohibited by law or our policies.
    e-maketi may publish and update a specific prohibited items policy. Sellers are responsible for compliance.

8. Intellectual property

  • You retain ownership of Content you post, but by posting you grant e-maketi a non-exclusive, worldwide, royalty-free license to use, reproduce, modify and display such Content to operate, promote, and improve the Platform.

9. Communications and reviews

  • By using the Platform, you consent to receive transactional messages from e-maketi and communications from other Users necessary to complete Transactions.

  • Reviews and ratings submitted by Users should be honest and based on actual experience. e-maketi may remove reviews that violate content rules.

  • You agree not to use communication channels for spam or unsolicited commercial messages.

10. Dispute resolution between Buyers and Sellers

  • Buyers and Sellers are encouraged to resolve disputes directly between themselves using the Platform’s messaging tools or any agreed return or refund arrangements.

  • e-maketi is not a party to transactions or private agreements between Buyers and Sellers and does not assume responsibility for resolving disputes arising from such transactions.

  • If a dispute escalates, the matter may be governed by the dispute resolution and governing law clauses (Section 18).

11. Warranties and disclaimers

  • THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.” E-MAKETI MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

  • We do not guarantee the truthfulness of User listings or the ability of any User to complete a Transaction. We are not responsible for the quality, safety, legality, or accuracy of Listings.

  • You use the Platform at your own risk.

12. Limitation of liability

  • TO THE MAXIMUM EXTENT PERMITTED BY LAW, E-MAKETI AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS OR PARTNERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL), EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

  • E-MAKETI’S AGGREGATE LIABILITY FOR DIRECT DAMAGES ARISING OUT OF OR IN CONNECTION WITH THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY THE CLAIMANT TO E-MAKETI IN THE 12 MONTHS PRECEDING THE CLAIM, OR A LOWER AMOUNT WHERE APPLICABLE LAW LIMITS THIS LIABILITY.

13. Indemnification

You agree to indemnify and hold e-maketi harmless from any claim, loss, liability, cost, or expense (including reasonable attorneys’ fees) arising from:

  • Your breach of this Agreement;

  • Your Listings, transactions, or communications with other Users;

  • Your violation of any law or the rights of third parties.

14. Account suspension and termination

  • e-maketi may suspend or terminate accounts, remove Listings, or restrict access if you violate this Agreement, engage in harmful conduct, or for operational reasons.

  • Upon termination, e-maketi may retain certain information as required by law or for legitimate business purposes.

  • If you believe an action taken against your account was in error, contact support to request review.

15. Privacy and data protection

  • e-maketi collects and processes personal data according to its Privacy Policy. Use of the Platform constitutes consent to the collection, use, and sharing of your data as described in that policy.

  • Sellers are responsible for any personal data they collect from Buyers (e.g., shipping addresses) and must handle it in accordance with applicable data protection laws.

16. Taxes

  • e-maketi does not collect or remit taxes on transactions between Buyers and Sellers. However, applicable taxes may be charged and collected on fees or packages purchased by Sellers for listing or promoting products on the Platform, in accordance with applicable law.

17. Third-party services and links

  • The Platform may contain links to third-party websites, services, or tools provided for user convenience, including payment or delivery service providers. e-maketi does not control and is not responsible for the content, policies, or practices of any third-party services, and users access such services at their own risk.

  • e-maketi is not a party to, and assumes no liability for, services or transactions conducted through third-party providers.

18. Governing law and dispute resolution

  • This Agreement is governed by the laws of the United Republic of Tanzania, without regard to conflict of law rules.

  • For disputes not resolved informally, the parties agree to submit to the non-exclusive jurisdiction of the competent courts in Tanzania. (Optional: include arbitration clause if you prefer arbitration — consult counsel.)

19. Changes to these Terms

  • e-maketi may revise these Terms from time to time. We will provide notice of material changes by posting a revised Agreement with a new effective date and, where required by law, additional notice.

  • Continued use of the Platform after changes constitutes acceptance of the updated Terms.

20. Miscellaneous

  • Severability: If any provision is held invalid, the remainder of the Agreement remains in force.

  • Waiver: Failure to enforce any right does not constitute a waiver of that right.

  • Entire agreement: These Terms, together with Privacy Policy and any supplemental policies, constitute the entire agreement between you and e-maketi regarding your use of the Platform.
